Chiesi Corporate Functions

At Chiesi, the Corporate Functions serve as drive and support for the Group’s business operations. Encompassing key areas such as Global Finance, Global Procurement, Global ICT, Global Human Resources, Global Legal, Compliance & IP, and Global Communications & Public Affairs, these functions ensure consistency, efficiency, and operational integrity.

Complementing these functions, the Transformation Office is responsible for ensuring the strategic alignment of the organization. It promotes an integrated, digital, and customer-centric approach, supporting growth, efficiency, and value creation in an increasingly data-driven world. The Transformation Office ensures coherence between vision and execution, acting as a catalyst for change across the entire organization.

The Strategy, Sustainability & Growth Department is also part of the Corporate Functions. It includes areas such as Global Strategy, SV&S and Business Development, Competitive Intelligence, and other key capabilities. It is accountable for defining the ‘One Chiesi’ Strategy and allocating resources to create long-term, sustainable, shared value for the Group and its stakeholders.

Who we are looking for

This is what you will do

We are seeking a motivated and skilled Legal Counsel to join the Global Legal Business, Innovation & Protection unit reportng to the Lead Legal Counsel, Global Legal Business, Innovation & Protection. The ideal candidate will have prior experience in M&A and/or licensing transactions, preferably within the pharmaceutical or life sciences sector. This role offers the opportunity to work on licensing agreements, and complex transactions that support innovation and growth, including in the digital healthcare sector supporting the inorganic growth of the Company.

You will be responsible for

  • Draft, review, and negotiate:
    • License agreements and related contracts
    • Third-party vendor agreements
    • Service agreements and Research Agreeement
    • Consulting agreements
    • Non-disclosure agreements (NDAs) and Material Transfer Agreemen
  • Proactively advise on legal risks, monitor claims and disputes, and translate complex legal issues into clear, actionable insights.
  • Provide legal advice on transactional matters, including due diligence, risk assessment, and regulatory considerations.
  • Collaborate cross-functionally with R&D, business development, finance, and compliance teams.
  • Support the management of relationships with external counsels, including coordination of activities, review of deliverables, and cost oversight.
  • Monitor legal developments and industry trends relevant to licensing and M&A.
  • Contribute to the development of internal best practices and templates.

You will need to have

  • Minimum 2–4 years of experience in transactional legal work, with exposure to licensing and M&A in international law firms or international company
  • Law degree (and successful completion of the Italian bar exam or foreign equivalent)
  • Excellent command of English, both written and spoken
  • Strong analytical, negotiation and communication skills
  • Ability to work independently and as part of a global legal team
  • Strong teamwork capabilities and ability to collaborate across functions
  • High level of resilience and adaptability in a dynamic environment
  • Excellent organizational skills, with attention to detail and ability to manage multiple priorities within assigned deadlines
  • Proven ability to work in international and cross-cultural environments, often outside of one’s comfort zone, with openness and flexibility

Location

The role is based in the HQ or in one of Chiesi affiliates in Europe
