Who we are looking for

Purpose

We are looking for a Legal Counsel Global Legal Business, Innovation & Protection to join our corporate team on a temporary contract.

Main Responsibilities

  • Drafting and negotiating commercial contracts (Distribution Agreements, Service Agreements, Consultancy Agreements, NDA’s etc.);
  • Providing general corporate advice (including on internal corporate re-org & restructuring matters) and commercial advice;
  • Supporting the business on key transactions (M&A, licencing options, risk management etc);
  • Provision of advice and rationale for decisions on general legal issues/queries raised by various departments within the organisation;
  • Identification of risks and exploring innovative solutions with a focus on developing and improving more efficient and effective processes;
  • Create, update and amend templates and guides to meet business and internal legal requirements;
  • Training and educating staff on legal issues; and
  • Engage and manage external counsel in multiple jurisdictions.

Experience Required

3+ years of experience either in private practice and/or in the industrial sector with a specific focus on healthcare/life sciences field.

Education

Academical background: Law degree; LLM or equivalent post-graduate qualifications/certifications will be conisdered a plus

Languages

Fluent English; other languges will be considered a plus

Technical Skills

  • Good knowledge of healthcare/pharma sectors
  • Good knowledge of business and commercial transactions
  • Drafting and negotiating of legal and corporate governance documents, including commercial contracts
  • Ability to translate legal matters for a non-legal audience
  • Ability to elaborate issues and provide efficient, rapid and business-oriented solutions

Location

The position is based in Parma with possibility of hybrid working arrangement.
